License Terms

These License Terms explain what you get when you buy a product from TheWebSuite (“TheWebSuite,” “we,” “us,” or “our”) or have us build something for you, and what stays ours. They form part of our Terms of Service. If a signed agreement for your project says something different, the signed agreement wins for that project.

1. Who owns what

TheWebSuite owns the code in everything we sell or build, including custom work we build from scratch. You own your data, and the content and brand you give us: your text, photos and logo, and your domain name when it is registered in your name.

Everything we sell or build is licensed to you, not sold. The license is the agreement that says how you may use it. Third-party software, open-source software, fonts and stock assets stay under their own licenses.

2. Product license

Every product we sell, such as Casekeep or a website template, comes with a lifetime license to use it for your own business, bought with one payment and no subscription. You run your own copy on your own accounts, unless you choose hosting with us.

Your license covers the version you buy, and it does not expire. New versions and upgrades are described in section 13 of our Terms of Service. You may not resell or share your copy.

With a website template, you edit your own content (your words, photos and details), but not the code. A template is licensed for one business. Photos in the preview are for display only. Your download comes with placeholders in the same layout, ready for your own photos.

3. Seats

A business system's license covers one business and the number of seats you have paid for. A seat is one named person who signs in to the firm side of the system; the firm's clients who sign in to the client portal do not use a seat. One seat is included, and additional seats are sold separately at the price shown on the product page. The system enforces the seat count with a license key we issue with your order; the key is activated online once when it is entered, and works on up to two installations of the system (one installation is one database, or one browser for a copy without a database); we free a place on request when you move.

Removing, altering or otherwise getting around these checks, in the code or in the database, breaches the license.

4. Refunds and the 30 day check-in

All sales are final. The one exception: if something is broken and we can't fix it or replace it, we refund you. Section 22 of our Terms of Service explains how a defect is handled. A product license ends if the purchase is refunded, reversed or charged back, and the copy then stops working.

Business systems, such as Casekeep: The system checks its license automatically in the background once a day. There is nothing for you to do. If a copy can't reach us for 30 days in a row, it pauses until it's back online.

5. Protected code and changes (Customize)

The code is delivered protected: it may not be modified, reverse engineered or resold, and changes are available through our Customize service. Only what you need to set up and run your copy stays readable: the setup guides, the database setup script, the settings you fill in, and a template’s content.

Customize: we make the changes you ask for to your copy, each quoted before we start, and the code stays protected under your product license. Each job is agreed in writing before work starts.

6. Source code license ($2,000)

Available on request: the readable code with the right to change it for your own business only, from $2,000 (up to 10 seats; larger firms by quote). It covers the version you have when you buy; later versions need Care or an upgrade. Any developer you choose may work on it for you. It may not be resold or shared, and the copyright stays with TheWebSuite.

Ask for it at info@thewebsuite.co and we email you the details.

7. Custom editions built on our products

Custom edition: custom work built on one of our products and delivered as readable code. Its price is the product, plus the source code license, plus the quoted changes.

A Custom edition always includes the source code license, so your edition comes as readable code that you, or any developer you choose, may change for your own business only, under the rules in section 6. General purpose features we build for your edition join our toolkit (section 9).

8. Custom work license

For custom work we build for you, including work built from scratch, TheWebSuite owns the code, and you get a lifetime license to use your build for your own business only. It may not be resold. Your license starts once everything due for the project is paid. The project agreement you sign describes what we build for you.

After launch we host your build, for $29 a month, fixed for as long as you stay with us. While we host it, every change goes through TheWebSuite, including work by a developer you bring in.

9. Our toolkit (general purpose features)

General purpose features we build, such as a calendar, join our toolkit. We may reuse them for other clients and in our products, and your copy keeps them under your license.

Our pre-existing code, reusable components, frameworks and know-how stay ours as well. When we reuse a feature, we never share your data, your content or your confidential information.

10. Leaving us: the 14 day handover

If you leave, we hand over within 14 days of your written request, once everything due is paid: your readable code under your custom work license, a full export of your data, and written steps for the move. Your site stays up with us until the move is done. From then on, you or any developer you choose may change it, for your own business only.

If TheWebSuite ever goes silent for 60 days, every client automatically receives their records and a copy of their build that runs on its own.

The handover applies to custom work for businesses of every size. The handover itself is free. If you would like us to do the move for you, we set up your new hosting and database accounts, put the code online there, load your data and check every record arrived, point your domain, test it, and shut down the old copy once you confirm. That is a separate service, quoted for your business, unless your agreement already includes it. If we host a product for you and the hosting plan ends, we keep your data for 30 days so you can export it, as section 10 of our Terms of Service explains.

11. Your data

Your data is always yours, and you can export all of it at any time, with no fee. Your data, and the content and brand you give us, stay yours under every license, including after a license ends.

When you run a system on your own accounts, your data sits in your own database account. When we host it, we use your data only to provide the services you asked for, as our Privacy Policy describes.

12. Etsy purchases

If you bought from our Etsy shop, the product license in these terms applies to your order. Your license covers one business and the number of seats on your Etsy order, plus any extra seats you later buy in the same Etsy shop from the same Etsy account. You claim your license key at thewebsuite.co/etsy with your Etsy order number and the name on the order; each order can be claimed once.

Refunds and cancellations of Etsy orders are handled through Etsy. If Etsy shows an order as refunded or cancelled, the license for that order ends and the copy stops working. Etsy is not a party to this license.

13. Changes to these terms

We may update these License Terms from time to time. When we do, we change the date at the top of this page. For material changes affecting existing customers, we give notice where required by law. Changes to a signed project agreement need the agreement of both parties.
